How we work


We prepare valuations and value opinions for transactions, reporting, restructuring, and strategic decisions. We work in accordance with accounting standards and market best practices (including IFRS/IAS, UoR), and we present our findings in the form of a report and—if needed—a financial model that allows you to track key assumptions and sensitivities.

The scope of work includes, among others:

  • valuations of companies and organized parts of enterprises (OPEs),
  • valuations of trademarks and other intangible assets,
  • valuations of contributions in kind, real estate, and movable property,
  • asset impairment tests,
  • valuations of fund assets, including debt portfolios.

Typical deliverables: valuation report/opinion, Excel model with assumptions and sensitivity analysis, summary of key risks and recommendations regarding input data.

We support owners and management teams in transaction processes—both on the sell-side and buy-side. Our goal is to mitigate risks, organize management information, and prepare the company for an efficient due diligence process and negotiation of transaction terms.

Within the M&A area, we provide, among other services:

  • Due diligence (financial and—as needed—coordination of legal and operational aspects): risk identification, verification of financial performance, analysis of working capital and net debt, and review of contracts and one-time events.
  • Transaction risk assessment: risk map (financial, reporting, tax, operational) along with recommendations for mitigating actions and their impact on valuation/SPA.
  • Harmonization of reporting systems and data preparation: preparation of an “investor pack” (KPIs, definitions, data consistency), streamlining of management reporting, support in preparing the data room and Q&A.
  • Purchase Price Allocation (PPA) and post-transaction support: identification and allocation of value to assets and liabilities, including intangible assets, preparation of documentation for reporting purposes (including IFRS 3 – if applicable).
  • Negotiation support: analysis of pricing mechanisms (locked box / completion accounts), commentary on key economic provisions, preparation of data-driven arguments.

Typical deliverables: DD report / risk report, recommendations for EBITDA adjustments, proposed definitions of net debt / working capital, data set for the data room, input to the PPA.


If you are planning to bring in an investor, issue shares, or secure debt financing, we support you in preparing materials, selecting partners, and conducting the process in an organized manner.

The scope of services includes, among others:

  • selection of potential investors (VC/PE, industry investors, and private investors),
  • preparation of investment materials (memorandum, presentations, financial model),
  • negotiation support and structuring of transaction terms (term sheet, financial terms),
  • coordination of the due diligence process from the owner’s perspective.

Typical outcomes: a complete set of investment materials, a financial model, a process plan, and support with Q&A and negotiations.

We develop strategic and scenario-based analyses for companies planning growth, restructuring, portfolio optimization, or preparation for sale. We combine financial and operational perspectives to ensure the strategy is quantifiable and actionable.

The scope of services includes, among others:

  • strategic and scenario analyses,
  • corporate development strategies—goals, priorities, and change implementation plans,
  • business plans and financial models for investors/banks or for internal use.

Typical deliverables: strategy document/business plan, financial model, implementation schedule, KPIs.

We ensure the stability of the company’s day-to-day operations and provide support in the areas of compliance and reporting. Depending on your needs, we can take over all or selected elements of the financial, legal, and tax functions.

The scope of services includes, among others:

  • full or simplified accounting, tailored to the scale of the business,
  • financial consulting, including serving as a remote CFO (Virtual CFO),
  • ongoing tax and legal consulting, as well as support in dealing with regulatory authorities.
